Welcome to Omniagentics.

These terms and conditions ("Terms") govern your access to and use of the Omniagentics Limited website and online marketplace located at https://omniagentics.net (the "Site"), operated by Omniagentics Limited, a company registered in England and Wales, whose registered office is 66 Paul St, London EC2A 4NA, United Kingdom (company number available on request) ("Omniagentics", "we", "us").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site. Your continued use of the Site following any change to these Terms constitutes acceptance of the updated Terms.

Definitions

• "Marketplace" — the Nexus Hub directory of vetted software products on the Site.
• "Partner" — a software vendor or reseller listed in the Marketplace that pays Omniagentics commission on referred conversions.
• "Vetting" — Omniagentics' evaluation of a product against its published criteria before listing.
• "User" — any visitor or registered account holder accessing the Site.
• "Affiliate Link" — a link on the Site that redirects through Omniagentics' tracking gateway to a Partner's site.

Use of the Site & Acceptable Use

You may use the Site for lawful purposes only. You agree not to:

• Use the Site in any way that breaches any applicable local, national or international law;
• Attempt to gain unauthorised access to any part of the Site, any Partner systems, or any data the Site processes;
• Introduce or attempt to introduce viruses, malware, or any other malicious code;
• Scrape, crawl, or systematically extract data from the Site, including product listings, vetting reports, or Partner information, without our prior written consent;
• Submit false or misleading information through any form, including the "Report an inaccuracy", abuse report, contact, or partner application forms, whether submitted directly or through the AI assistant;
• Use the Site to send unsolicited communications or to solicit Partners or Users for purposes unrelated to the Marketplace;
• Impersonate any other person or entity, or misrepresent your affiliation with a person or entity.

We may suspend or terminate your access to the Site at any time, without notice, if we reasonably believe you have breached these Terms or any applicable law.

Accounts

Certain features of the Site (including saving products, generating roadmaps and executive briefings, and accessing the Partner Portal) require a registered account. You agree to provide accurate, current information when registering and to keep your account credentials confidential. You are responsible for all activity under your account. If you become aware of any unauthorised use, you must notify us promptly at info@omniagentics.net.

You must be at least 18 years old to register an account. The Site is not directed to children under 18, and we do not knowingly collect personal data from children. If you believe a child has provided us with personal data, please contact us so we can delete it.

Cookies & Storage

We use cookies and browser storage only where necessary to operate the Site and, where you consent, to provide analytics. We do not set any tracking cookie when you click an Affiliate Link; attribution is handled server-side as described in the "Affiliate Links & Commission" section below.

When you first visit the Site, a cookie banner asks you to choose between "Accept all", "Allow only necessary", and "Reject all". Your choice is stored in your browser's local storage. You may withdraw or change your consent at any time by clearing your browser storage for the Site. See our Privacy Policy for details of what each category covers.

Necessary cookies and storage are required for the Site to function (for example, keeping you signed in and remembering your consent choice) and are set without further consent. Analytics cookies are set only if you accept them. We do not use third-party advertising cookies.

Affiliate Links & Commission

Omniagentics operates an affiliate model. Many of the outbound links on the Site are Affiliate Links: when you click one, you are redirected through our tracking gateway to a Partner's website, and if you subsequently purchase from that Partner, Omniagentics may receive a commission from the Partner at no additional cost to you.

We disclose this relationship transparently: Affiliate Links are identifiable on product pages, and this section forms part of these Terms. Although affiliate and partnership programs are a small part of our Vetting process, the products are advertised on the Marketplace regardless of whether they pay commission or not. Commission arrangements do not influence a product's Vetting score or verdict — Vetting is performed independently of commercial terms, and a product may be listed, rejected, or deprioritised regardless of whether a commission is payable.

When you click an Affiliate Link, our gateway generates a unique click identifier, logs the click (including IP address and user agent — see our Privacy Policy), and appends the click identifier to the destination URL. The Partner echoes this identifier back to us if a conversion occurs (a "server-to-server postback"). We do not set a tracking cookie on your browser for this purpose. You can block the redirect or the postback by configuring your browser or network, but doing so may prevent us from being credited for the referral and does not affect the price you pay.

We are not a party to any contract between you and a Partner. All purchases are made directly with the Partner and subject to the Partner's own terms and privacy policy.

Vetting & Marketplace Content

Vetting is performed using a combination of automated analysis and human review against our published criteria. Vetting scores, verdicts, and reports represent our good-faith assessment at the time of evaluation based on publicly available information and are provided for general guidance only. They are not a guarantee of a product's performance, security, suitability, or ongoing compliance, and we do not warrant that any product will meet your specific requirements.

Omniagentics operates a 3-way audit loop — human evidence submission, agent verification, and human correction — as part of its Vetting process, producing a structured, measurable confidence score for every product's due diligence before it is listed on the public Nexus Hub Marketplace. A user "Report an inaccuracy" channel feeds reported issues back into the same loop. Although our deep search and Vetting process are thorough, Omniagentics is not responsible for the performance, security, or revenue-related outcomes of Partners' products (i.e. vetted products).

Products and Partners may change their features, pricing, security posture, or ownership after listing. We may re-run Vetting, update or remove listings, or change a product's status at any time without notice. You should carry out your own due diligence before purchasing from any Partner.

The Site may contain user-reported inaccuracies and audit information. We do not guarantee the accuracy of user-submitted reports and reserve the right to review, edit, or remove them.

Intellectual Property

Unless otherwise stated, Omniagentics Limited and/or its licensors own the intellectual property rights in all material on the Site, including the Vetting framework, criteria, reports, design, and text. All intellectual property rights are reserved.

You may access and view the Site for your own personal, non-commercial use. You must not:

• Copy, republish, or redistribute material from the Site;
• Sell, rent, or sub-license material from the Site;
• Reproduce or duplicate Vetting reports, scores, or criteria for commercial use without our written consent;
• Use the Omniagentics name, logo, or branding without a separate trademark licence agreement.

User-Submitted Content & Comments

Parts of the Site allow Users to submit opinions, reports, and information (including inaccuracy reports, abuse reports, and contact messages). Omniagentics does not filter, edit, publish, or review submissions before they are received. Submissions do not reflect the views of Omniagentics. To the extent permitted by applicable law, Omniagentics is not liable for any submission or for any loss arising from its use or appearance on the Site.

Omniagentics reserves the right to monitor submissions and remove any that are inappropriate, offensive, or breach these Terms. You warrant and represent that:

• You are entitled to make the submission and have all necessary licences and consents;
• The submission does not infringe any intellectual property right of any third party;
• The submission does not contain defamatory, libellous, offensive, indecent, or unlawful material or invade another's privacy;
• The submission will not be used to solicit or promote unlawful activity.

You grant Omniagentics a non-exclusive, royalty-free licence to use, reproduce, edit, and authorise others to use your submission in any form, for the purposes of operating, improving, and marketing the Site and the Marketplace.

Links to & from the Site

The Site contains links to third-party websites (including Partner sites) that are not owned or controlled by us. We are not responsible for the content or practices of those websites and encourage you to read their terms and privacy policies.

The following organisations may link to our Site without prior written approval: government agencies; search engines; news organisations; and online directory distributors linking in the same manner as they link to other listed businesses. Other organisations may link to our home page or publications provided the link is not deceptive, does not falsely imply sponsorship or endorsement, and fits the context of the linking site.

If you wish to link to our Site, contact us at info@omniagentics.net. No use of our logo or branding is permitted without a separate trademark licence agreement.

We reserve the right to request the removal of any link to our Site and to amend our linking policy at any time.

Disclaimer

To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to the Site, the Marketplace, Vetting reports, and any content or services provided through the Site. Nothing in this disclaimer will:

• Limit or exclude our or your liability for death or personal injury caused by negligence;
• Limit or exclude our or your liability for fraud or fraudulent misrepresentation;
• Limit any liability in any way that is not permitted under applicable law; or
• Exclude any liability that may not be excluded under applicable law.

The Site and its content are provided for general information and do not constitute professional advice. You should obtain independent professional advice before relying on any Vetting report or purchasing from any Partner.

Content generated by the Site and the Nexus Hub — including Agentic Roadmaps and Executive Briefings — consists of automated suggestions based on the information you provide and your selections, and is for informational purposes only. It does not constitute professional advice or a binding recommendation.

Limitation of Liability

Subject to the Disclaimer above, to the maximum extent permitted by applicable law, neither Omniagentics nor its directors, employees, affiliates, or Partners shall be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site.

Our aggregate liability arising out of or in connection with these Terms or your use of the Site, whether in contract, tort (including negligence), or otherwise, shall in no event exceed the greater of (a) the total commission payments (if any) we have received from Partners in respect of your purchases during the twelve (12) months preceding the claim, or (b) GBP £100. This cap does not apply to liability that cannot be limited under applicable law.

Indemnity

You agree to indemnify and hold harmless Omniagentics, its directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your misuse of the Site; or (c) any User-Submitted Content you provide.

Variation of Terms

We may update these Terms from time to time. We will indicate the current version and last-updated date at the foot of this page. Where a change is material, we will take reasonable steps to notify Users — for example, by displaying a notice on the Site or, for registered Users, by email. Your continued use of the Site after a change takes effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Site.

Termination

You may stop using the Site at any time. We may suspend or terminate your access to the Site or your account at any time, without notice, if we reasonably believe you have breached these Terms or any applicable law, or if we decide to discontinue the Site or any feature. On termination, all licences granted to you under these Terms end automatically.

Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) shall be governed by and construed in accordance with the law of England and Wales.

Subject to the Disclaimer and Limitation of Liability sections, the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim, except that you may bring a claim in the courts of the EU member state in which you are habitually resident if you are a consumer resident in the EU, and nothing in this section prevents you from bringing a claim in your local consumer court where you have such a right.
